Clario is seeking a detail-oriented and experienced Contract Specialist to join our global team. Responsibilities
As a Contract Specialist, you will be responsible for managing commercial contracting activities with precision and efficiency. Your core duties will include:
- Drafting & Negotiation: Prepare, review, and negotiate various clinical agreements, including Confidential Disclosure Agreements (CDAs), Work Orders (WOs), Start-Up Agreements (SUAs), and Letters of Intent (LOIs).
- Complex Agreement Management: Support the negotiation of Master Service Agreements (MSAs), Stand-Alone Agreements (SAAs), Data Privacy Agreements (DPAs), and Quality Agreements.
- Change Orders: Conduct thorough legal reviews of Change Orders (COs) to ensure alignment with original terms.
- Lifecycle Management: Utilize Salesforce and other internal systems to oversee the full contract lifecycle from initiation to execution.
- Documentation & Compliance: Maintain audit-ready records, manage electronic signature workflows, and ensure all documentation adheres to internal SOPs and regulatory requirements.
- Cross-Functional Support: Collaborate effectively with legal, clinical, and operational teams to resolve contract escalations and address non-standard terms.
- Audit Support: Assist in client audits and regulatory inspections as required.
Requirements
Educational Qualification:
- Bachelor’s degree in Law, Life Sciences, Pharmacy, or a related field is preferred.
Experience:
- Minimum of 3+ years of professional experience in commercial contracting.
- Proven experience within the Pharmaceutical, CRO, or Clinical Research industry.
- Demonstrated expertise in managing complex agreements, particularly MSAs, CDAs, and DPAs.
Technical & Core Skills:
- Strong understanding of contract lifecycle management (CLM) principles and regulatory frameworks specific to clinical trials.
- Advanced proficiency in Microsoft Word (for drafting) and basic proficiency in Microsoft Excel (for tracking and reporting).
- Hands-on experience with Salesforce or similar contract management platforms.
- Exceptional attention to detail and the ability to manage multiple deadlines in a fast-paced environment.
- Strong communication skills to facilitate negotiations and cross-departmental collaboration.
